1. Introduction & Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Merchant”, “Customer”, or “Partner”) and Bizilot Technologies (“Bizilot”, “we”, “our”, or “us”). By accessing or using the Bizilot web platform, applications, APIs, or customer storefronts hosted on bizilot.com or associated subdomains, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you are registering an account on behalf of a business, company, or partnership firm, you represent and warrant that you hold the legal authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our platform.

2. Nature of Platform & Intermediary Safe Harbor

Bizilot is a multi-tenant business commerce platform providing:

Cloud Point of Sale (POS) and inventory tracking tools.
Online merchant catalog and storefront generation.
Order, booking, delivery, and driver assignment workflows.
Customer relationship and transaction ledger management.

Intermediary Status: In accordance with Section 79 of the Information Technology Act, 2000 (India) and applicable global intermediary liability laws, Bizilot acts solely as a technological intermediary. Bizilot does not manufacture, store, inspect, warrant, or physically deliver any merchandise sold by merchants through their storefronts, nor does it control individual merchant pricing or inventory accuracy.

The contract for the purchase and sale of goods or services is strictly a bipartite contract between the buyer and the merchant. Bizilot is not a party to such transactions.

3. Accounts, Spaces & Mobile Authentication

3.1 Mobile OTP Login

Bizilot employs passwordless mobile number verification via One-Time Passwords (OTP). You agree to provide a valid, active mobile number owned and registered under your legal identity. You are solely responsible for maintaining the physical and digital security of your device and SIM card.

3.2 Workspace & Role-Based Access

Platform accounts are organized into distinct Spaces (Platform Admin, Business Owner, Business Staff, and Customer). Business owners are liable for all actions, transactions, and inventory modifications initiated by staff members invited into their workspace.

4. Merchant Obligations, Catalogs & Legal Compliance

Merchants using Bizilot to run storefronts, generate bills, or accept bookings warrant that:

Accuracy of Data: All item descriptions, Maximum Retail Price (MRP), discounted selling prices, measurements, batches, and expiry dates are truthful, accurate, and kept up-to-date.
Statutory Licenses: The business maintains all valid municipal and statutory licenses required for its business trade, including but not limited to FSSAI licenses (for food & beverages), drug licenses (for pharmacies), and GSTIN registrations where applicable.
Taxation: The merchant is solely responsible for determining, collecting, reporting, and remitting all applicable Goods and Services Tax (GST) or other municipal levies associated with transactions conducted on their storefront.
Order Fulfillment: The merchant will honor legitimate customer orders and service appointments accepted through the platform in a timely manner.

5. Prohibited Products & Acceptable Use

You agree not to upload, list, offer for sale, or advertise any of the following items on Bizilot storefronts:

Illegal narcotics, prescription medicines without regulatory authorization, or controlled substances.
Firearms, weapons, ammunition, fireworks, or hazardous explosive materials.
Counterfeit goods, unauthorized replicas, or pirated copyrighted material.
Sexually explicit, obscene, or defamatory content.
Any product or service that violates local municipal, state, or national laws.

Bizilot reserves the absolute right to immediately deactivate, suspend, or permanently remove any catalog item or business workspace found to be in violation of this Section without notice.

6. Customer Orders, Payments & Settlement

Storefront transactions may be settled using various payment channels supported by the merchant (Cash on Delivery, UPI, Cards, Net Banking, or Store Credit).

Bizilot does not hold customer funds in trust. Where digital payment gateways are enabled, funds are processed and settled directly to the merchant's verified bank account according to the payment aggregator's standard settlement cycle.

7. Platform Subscriptions & Billing

Access to specific premium features, advanced analytics, driver modules, or multi-location inventory may require a paid subscription.

All recurring subscription fees are billed in advance according to the chosen billing cycle (monthly or annually).
Fees are exclusive of applicable GST unless explicitly stated otherwise.
Failure to settle platform subscription invoices may result in the downgrading or suspension of workspace access until arrears are cleared.

8. Intellectual Property

Bizilot IP: The Bizilot name, logo, software code, database architecture, user interface design, and algorithms are the proprietary intellectual property of Bizilot Technologies. You may not copy, reverse-engineer, decompile, or frame any portion of the platform without our prior written consent.

User Content: You retain ownership of all images, logos, product catalogs, and data you upload to Bizilot. By uploading, you grant Bizilot a non-exclusive, worldwide, royalty-free license to host, display, and process your content solely for the purpose of operating the platform and rendering your storefronts.

9. Termination & Account Suspension

Bizilot may suspend or terminate your access to the platform immediately, with or without prior notice, in the event of:

Material breach of these Terms or applicable laws.
Suspicious, fraudulent, or harmful activity detected on your workspace.
Direct requests from regulatory, legal, or law enforcement authorities.

Upon termination, your right to use the platform will cease immediately. Merchants may request an export of their customer and inventory records within 30 days of termination by contacting support.

10. Disclaimers & Limitation of Liability

THE BIZILOT PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BIZILOT DOES NOT GUARANTEE THAT THE PLATFORM WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZILOT TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BIZILOT IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ₹5,000 INR, WHICHEVER IS LOWER.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

12. Updates to Terms

We reserve the right to modify these Terms at any time. When material changes are made, we will update the “Last Updated” date at the top of this page. Your continued use of the platform after the posting of revised Terms constitutes your acceptance of the changes.
